TERMS AND CONDITIONS

1. INTRODUCTION

Welcome to HealthSpace, a digital platform operated by MedProjects Inc. ("MedProjects," "we," "us," or "our"), a company registered under the laws of the Republic of the Philippines.

These Terms and Conditions ("Terms") govern your access to and use of the HealthSpace website, mobile applications, and services (collectively, the "Platform"). The Platform provides a Healthcare Facility Directory and Online Appointment System to connect patients with healthcare providers in the Philippines.

By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Platform.

2. DEFINITIONS

In these Terms, the following definitions apply:

  • "Content" means any information, text, graphics, photos, or other materials uploaded, downloaded, or appearing on the Platform.
  • "Facility" means any healthcare institution, clinic, hospital, laboratory, or other healthcare provider listed on the Platform.
  • "Services" means the Healthcare Facility Directory and Online Appointment System provided by the Platform.
  • "User" or "you" means any individual who accesses or uses the Platform, including patients, healthcare professionals, and facility administrators.

3. ELIGIBILITY

To use the Platform, you must be at least 18 years old or be using the Platform under the supervision of a parent or legal guardian. If you are using the Platform on behalf of a Facility, you represent and warrant that you have the authority to bind the Facility to these Terms.

4. ACCOUNT REGISTRATION AND SECURITY

4.1 User Accounts

To access certain features of the Platform, you may need to register for an account. When you register, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete.

4.2 Account Security

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately at [email protected] if you become aware of any unauthorized use of your account or any other breach of security.

4.3 Account Types

The Platform supports different types of accounts:


  • Patient accounts for individuals seeking healthcare services

  • Facility accounts for healthcare providers and institutions

  • Administrator accounts for facility staff who manage facility profiles and appointments

5. HEALTHCARE FACILITY DIRECTORY

5.1 Listing Information

The Healthcare Facility Directory is intended to provide users with information about healthcare facilities in the Philippines. We strive to ensure the accuracy of the information, but we do not guarantee the accuracy, completeness, or reliability of any Facility information.

5.2 Verification Process

We implement a verification process for Facilities listed on our Platform. However, verification only confirms the existence of the Facility and does not constitute an endorsement or certification of the quality of care provided.

5.3 User Reviews and Ratings

The Platform may allow Users to post reviews and ratings of Facilities. Reviews must be based on actual experiences, must not contain false information, and must comply with our Content Guidelines.

6. ONLINE APPOINTMENT SYSTEM

6.1 Appointment Booking

The Platform allows Users to book appointments with participating Facilities. By booking an appointment, you agree to:


  • Provide accurate information

  • Attend the appointment or cancel/reschedule according to the Facility's policy

  • Follow the Facility's check-in procedures

6.2 Appointment Confirmation

Appointment bookings made through the Platform are subject to confirmation by the Facility. The Platform will notify you of confirmed, rescheduled, or canceled appointments.

6.3 Cancellation and Rescheduling

You may cancel or reschedule appointments according to the Facility's cancellation and rescheduling policies, which will be displayed at the time of booking. Repeated cancellations or no-shows may result in restrictions on your ability to book future appointments.

6.4 No Guarantee of Service

Booking an appointment through the Platform does not guarantee that the Facility will provide any specific treatment or service. All medical decisions remain at the discretion of the healthcare provider.

7. USER CONDUCT

7.1 Prohibited Activities

You agree not to engage in any of the following activities:


  • Violating any applicable law or regulation

  • Impersonating any person or entity

  • Interfering with the proper functioning of the Platform

  • Accessing the Platform through automated means without our permission

  • Attempting to access data not intended for you

  • Using the Platform to transmit harmful code or malware

  • Posting false, misleading, or defamatory content

  • Harassing, intimidating, or threatening any user or Facility

  • Attempting to circumvent any security features of the Platform

7.2 Content Guidelines

When posting Content on the Platform, you agree that such Content will not:


  • Infringe any third-party intellectual property or privacy rights

  • Contain personal health information of others

  • Be obscene, defamatory, or offensive

  • Promote discrimination, bigotry, or hatred

  • Contain false or misleading information about healthcare services

  • Include advertising or solicitations without our permission

8. CONTENT OWNERSHIP AND RIGHTS

8.1 User Content

You retain ownership of any Content you post on the Platform. By posting Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate, and distribute your Content in any existing or future media.

8.2 Platform Content

All Content provided by us, including text, graphics, logos, button icons, images, and software, is our property or that of our licensors and is protected by Philippine and international copyright laws.

9. PRIVACY

Your privacy is important to us. Our Privacy Policy, available on the Platform, describes how we collect, use, and disclose information about you.

10. INTELLECTUAL PROPERTY

10.1 Trademarks

"HealthSpace," the HealthSpace logo, and other trademarks, service marks, graphics, and logos used in connection with the Platform are trademarks or registered trademarks of MedProjects Inc. Other trademarks, service marks, graphics, and logos used in connection with the Platform may be the trademarks of other third parties.

10.2 License to Use Platform

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform for your personal, non-commercial use.

11. MEDICAL DISCLAIMER

11.1 No Medical Advice

The Platform does not provide medical advice. The information displayed on the Platform is for general informational purposes only and is not intended as a substitute for professional medical advice, diagnosis, or treatment.

11.2 Emergency Situations

The Platform is not designed for emergency situations. If you are experiencing a medical emergency, please call emergency services (911) or go to the nearest emergency room immediately.

11.3 No Doctor-Patient Relationship

Use of the Platform does not create a doctor-patient relationship between you and MedProjects. Any doctor-patient relationship is between you and the healthcare provider you choose to see.

12. LIMITATION OF LIABILITY

12.1 Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

12.2 Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall MedProjects, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:


  • Your access to or use of or inability to access or use the Platform

  • Any conduct or content of any third party on the Platform

  • Any content obtained from the Platform

  • Unauthorized access, use, or alteration of your transmissions or content

12.3 Facility Liability

MedProjects is not liable for the actions or omissions of any Facility or healthcare provider listed on the Platform. Any claims relating to healthcare services provided must be directed to the relevant Facility or healthcare provider.

13. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless MedProjects, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses arising from:


  • Your use of and access to the Platform

  • Your violation of any term of these Terms

  • Your violation of any third-party right, including without limitation any intellectual property right or privacy right

  • Any claim that your Content caused damage to a third party

14. TERM AND TERMINATION

14.1 Term

These Terms shall remain in full force and effect while you use the Platform.

14.2 Termination by You

You may terminate your account at any time by contacting us at [email protected].

14.3 Termination by Us

We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms.

14.4 Effect of Termination

Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15. CHANGES TO TERMS

We may revise these Terms from time to time. The most current version will always be posted on the Platform. By continuing to access or use the Platform after revisions become effective, you agree to be bound by the revised Terms.

16. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located within the Philippines for the resolution of any disputes.

17. DATA PRIVACY ACT COMPLIANCE

We comply with Republic Act No. 10173, also known as the Data Privacy Act of 2012, and its Implementing Rules and Regulations. By using the Platform, you consent to the collection, use, and disclosure of your personal information as described in our Privacy Policy.

18. GENERAL PROVISIONS

18.1 Entire Agreement

These Terms constitute the entire agreement between you and MedProjects regarding the Platform and supersede all prior agreements and understandings.

18.2 Waiver and Severability

The failure of MedProjects to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in effect.

18.3 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms without restriction.

18.4 Notices

Any notices or other communications provided by MedProjects under these Terms will be given by posting to the Platform or via email to the email address associated with your account.
